SAVVIS Inc. will integrate the Cisco Unified Computing System (UCS) as the cornerstone of Savvis Symphony, Savvis' private clouds platform, previously dubbed Project Spirit, that will power the enterprise-class Virtual Private Data Center (VPDC) with multi-tiered security and quality of service capabilities. Cisco UCS unites computational, network, storage access, and virtualization into a scalable, modular architecture that is managed as a single system. The Cisco Unified Service Delivery solution optimally utilizes pools of resources within any given data center and applies them to any service offering as well as interconnects data center islands to further combine resources, which can significantly reduce capital and operational costs. Savvis is using the Cisco Unified Service Delivery solution for service delivery which combines the Cisco UCS architecture with the Cisco Nexus solutions, ACE and MPLS network. The received acceptances represent a lower acceptance ratio than the 90% condition to the offer set out in Section 1.7 in the offer document dated October 7, 2009. However, Cisco has decided to waive this 90% condition. Cisco intends to complete the voluntary public cash offer subject to the satisfaction or waiver of the remaining conditions to the offer as set forth in the offer document, Section 1.7, as soon as possible. | Cisco Systems, Inc. announced that in the voluntary public cash offer to acquire all outstanding shares in Tandberg ASA it has now received acceptances for or purchased shares representing more than 90% of the shares in Tandberg ASA. As a result of additional acceptances registered on December 4, 2009, Cisco hereby announces that approximately 99.8 million shares have been tendered, representing 89.1% of the outstanding shares in Tandberg ASA. In addition, Cisco has on November 18 and 20, 2009, purchased a total of 2,238,600 shares in Tandberg, corresponding to 2.0% of the outstanding and issued shares. The shares tendered, combined with shares owned, currently represent approximately 102 million shares, or approximately 91.1% of the shares and voting rights in Tandberg. There may be adjustments to this result due to possible corrections and changes following registration with the Verdipapirsentralen (VPS). Subject to the satisfaction or waiver of the remaining conditions to the offer as set forth in the offer document, dated October 7, 2009, Section 1.7, Cisco intends to make a compulsory acquisition of the remaining shares in Tandberg and to proceed with an application for a delisting of the shares of Tandberg. |
