| Companhia de Bebidas das Americas-Ambev announced that its Board of Directors has approved on November 9, 2009 the distribution of dividends and own capital interests based on the balance of October 31, 2009. The dividends will be of BRL 1.4800 per ordinary share and BRL 1.628 per preferred share, and the own capital interests will be of BRL 0.540 per ordinary share and BRL 0.594 per preferred share. Both payments will be made from December 18, 2009 to the shareholder base as of December 2, 2009, in the case of the Sao Paulo Stock Exchange (Bovespa)'s shareholders, and December 7, 2009 in the case of the New York Stock Exchange (NYSE)'s shareholders. |

The dividends will have a value of BRL 1.30 per ordinary share and BRL 1.43 per preferred share and the own capital interests will yield a value of BRL 0.250 per ordinary share and BRL 0.275 per preferred share.
